1. Acceptance of Terms

By accessing or using Minaki Health ("the Platform," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you must not use our services. These Terms constitute a legally binding agreement between you ("User" or "you") and Minaki Health.

2. Description of Services

Minaki Health provides a digital platform offering mental wellness resources, gambling recovery support tools, teletherapy connections, self-guided wellness exercises, mood tracking, and related educational content. Our services include both free and premium subscription tiers. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time with reasonable notice.

3. User Accounts & Registration

To access certain features, you must create an account. You agree to: (a) provide accurate, current, and complete registration information; (b) maintain the security of your account credentials; (c) promptly update your information as needed; (d) be responsible for all activities under your account; and (e) notify us immediately of any unauthorized use. You must be at least 18 years of age to create an account.

• You are responsible for maintaining the confidentiality of your login credentials
• You must not share your account with others
• We reserve the right to suspend or terminate accounts that violate our Terms
• Each user may maintain only one account unless otherwise authorized

4. Subscription & Payments

Premium services require a paid subscription. By subscribing, you agree to the following payment terms:

• Subscription fees are billed annually as displayed at the time of purchase
• All payments are processed securely through our third-party payment processors (Paystack, M-Pesa)
• Subscription fees are non-refundable except as required by applicable law
• We reserve the right to change pricing with 30 days notice
• Premium features may vary by region based on available integrations
• Users are responsible for all applicable taxes

5. Medical Disclaimer

IMPORTANT: Minaki Health is NOT a replacement for professional medical advice, diagnosis, or treatment. Our platform provides educational resources and supportive tools, but does not provide medical or clinical services directly through the platform.

• Always seek the advice of qualified health providers with any questions regarding a medical condition
• If you are in crisis, call 1199 (Kenya Red Cross) or your local emergency services immediately
• The teletherapy feature connects you with independent licensed therapists; therapeutic relationships are formed directly with the therapist, not with Minaki Health
• Emergency resources and crisis hotlines are provided for immediate support
• Do not disregard professional medical advice or delay seeking it based on content from our platform

6. Privacy & Data Protection

Your privacy is critically important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy and Terms & Conditions, which are incorporated into these Terms by reference.

• Your personal health information is handled with strict confidentiality
• We do not sell your personal data to third parties
• Data is encrypted in transit and at rest

7. User Conduct & Prohibited Activities

You agree to use the Platform only for lawful purposes and in accordance with these Terms. Prohibited activities include:

• Using the Platform for any fraudulent or illegal purpose
• Attempting to interfere with the proper functioning of the Platform
• Uploading malicious code or engaging in hacking activities
• Harassing, abusing, or harming other users or therapists
• Impersonating any person or entity
• Data scraping or mining without our express written consent

8. Intellectual Property

All content, features, and functionality on the Platform (including text, graphics, logos, icons, images, audio clips, digital downloads, data compilations, and software) are owned by Minaki Health or its licensors and are protected by applicable intellectual property laws.

• You may not reproduce, distribute, modify, or create derivative works without our permission
• The Minaki Health name and logo are our trademarks
• User-generated content remains the property of the user who created it
• By posting content, you grant us a license to display it on the Platform

9. Limitation of Liability

To the maximum extent permitted by applicable law, Minaki Health, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform. This includes, without limitation, damages for loss of profits, data, use, goodwill, or other intangible losses.

10. Indemnification

You agree to defend, indemnify, and hold harmless Minaki Health and its affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Platform.

11. Third-Party Services

Our Platform may integrate with third-party services (including payment processors, analytics providers, and communication tools). We are not responsible for the practices of these third parties. Your use of third-party services is governed by their respective terms and policies.

12. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination: (a) your right to use the Platform immediately ceases; (b) we may delete your account and data in accordance with our Privacy Policy; (c) any provisions of these Terms that by their nature should survive termination shall survive.

13. Changes to Terms

We reserve the right to update or modify these Terms at any time. Changes will be effective immediately upon posting. We will notify users of material changes via email or through the Platform. Your continued use of the Platform after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising under these Terms shall be resolved through binding arbitration in Nairobi, Kenya, in accordance with the rules of the Nairobi Centre for International Arbitration.
